This website is owned and operated by Premier Medical Limited/(TA) Premier Wellbeing (the Company/We/Us/Our). By using this website you agree to abide by the Terms and Conditions contained herein. Copyright in the material contained in this website is owned by the Company and the contents may not be downloaded for commercial purposes or for re-publication. Premier Wellbeing operate out of E33 Loughmore Centre, Raheen Business Park, Limerick, Ireland.

These terms (“Terms”) set out how you may use the Sites and the content within them, both when you register for and use a Premier Medical Limited/(TA) Premier Wellbeing  account, when you use the Sites as a guest (i.e. where you use and/or browse the Sites without logging into a Premier Wellbeing Account) and when you visit our Stores. Use includes without limitation accessing, browsing (with or without purchase), registering and/or submitting any Contributions (defined below).

These Terms also set out how you may interact with us on our official social media accounts (including without limitation our accounts on Facebook, Twitter, Instagram, Snapchat and Youtube) (“Social Media”). Interacting in this context includes without limitation: joining our official Premier Wellbeing group/page, following us, “liking”, “retweeting”, or writing a comment in relation to a page, or submitting a Contribution (defined below) on the Social Media (“Interacting” or “Interaction” (as applicable)).

The Sites, Stores and the Social Media shall together be referred to as the “Services” in these Terms.

Please also read our Terms and Conditions of Sale which relate to your purchase of items from the Sites and Stores, Promotions Terms relating to our promotions, and our Privacy Policy and Cookies Policy which relate to information collected during your use of the Services and other Premier Medical Limited/(TA) Premier Wellbeing  services (“Other Terms”).

Please read the Terms and the Other Terms carefully before you start to use the Services. By using the Sites, Stores and Interacting with us on the Social Media, you are agreeing to these Terms and the Other Terms (collectively “Our Terms”) and agree to comply with them. If you do not agree to Our Terms you must not use the Services.

You are also responsible for ensuring that all persons who access the Services through your internet connection are aware of Our Terms and that they comply with them.

Content on the services

The content on the Services is provided for general information only. It is not intended to amount to advice on which you should rely.

We will update the Services from time to time, and may change the content at any time.

Although we make reasonable efforts to update the information on the Services, we make no representations, warranties or guarantees, whether express or implied, that the content on the Services is accurate, complete or up-to-date.

We do not guarantee that the Services or any content on them, will always be available or be uninterrupted. We may suspend, withdraw, discontinue or change all or any part of the Services without notice.

We reserve the right to amend these Terms from time to time. The Terms were most recently updated on 27 April 2018.

Your Premier Wellbeing account details

When you register a Premier Medical Limited/(TA) Premier Wellbeing Account you will be required to provide certain details about you including your name, email address, payment address, delivery address, date of birth, and you will be asked to provide an email address and password which you will need to use to login to your Premier Wellbeing Account(“Login Details”) (collectively the “Personal Details”). You must also ensure that the password that you set is not obvious to any third party to ensure the security of your Account Information.

You must regularly review the Personal Details provided and change any details where your circumstances change e.g. where you change your address, email address or name. It is your responsibility to ensure your Personal Details are kept accurate and up to date. It is important that your details are kept accurate and up to date to ensure we can tailor our services to you and ensure our service is as efficient as possible for you, for example, we will use your details to pre-populate fields your Personal Details in the checkout process when you are logged in.

It is important and you must ensure, that your Personal Details are personal to you (and not anyone else), for example, you must not as part of your Login Details or otherwise, provide a generic email address (e.g. [email protected]) or an email address that is used by another person.

You must also treat all your Personal Details as confidential information. You must in no circumstances disclose your Login Details to any other person. If you know or suspect that another person has your Login Details you must inform us immediately by contacting our Customer Care team at info@ premierwellbeing.ie or by post to E33 Loughmore Centre, Raheen Business Park, Limerick, Ireland.

We will make available to you on your Premier Medical Limited/(TA) Premier Wellbeing Account your Personal Details and your order history (i.e. details of orders you have placed with Premier Wellbeing) (“Account Details”). You must always log out of your Premier Wellbeing Account after you have finished. This will prevent unauthorized persons from accessing your Personal Details and your Account Details. We reserve the right to close /suspend/ disable your Premier Wellbeing Account at any time and in any circumstances, including without limitation where:

1. We find out that an unauthorised person has accessed your Premier Medical Limited/(TA) Premier Wellbeing Account;

2. A proxy IPs (Internet Protocol Addresses) is being used in order to attempt to hide the use of multiple accounts; or

3. Your use disrupts the services we provide in any way or if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.

Placing an order on sites

When you go through the checkout process and place an Order with us on the Sites (even where you are a guest i.e. where you have not logged into a Premier Medical Limited/(TA) Premier Wellbeing Account (“Guest”)) you will provided to us various information about you including your name, email address, payment address, delivery address and telephone number. You must ensure that the details you input are correct and personal to you (e.g. you must not use a generic email address (e.g. [email protected]) or an email address that is used by another person) to ensure the accuracy and security of your information and to ensure that we can tailor our services to you. We use the email addresses you have inputted as a Guest to link Orders to you so it is important that this email address is personal to you to ensure the security of your information and to ensure that our information about you is kept accurate and up to date.

Where you are placing an Order as a Guest you will be given the opportunity to register for a Premier Wellbeing Account. We will use the details that you have inputted during the checkout process to set up your account and then so all you will need to do is input a password which you will need to login to your Premier Wellbeing Account. You must ensure that the email address you have inputted is personal to you, if it is not, please do not proceed to registration otherwise the other persons using your email address may be able to access your account and all your Account Information (see below). You must also ensure that the password that you set is not obvious to any third party to ensure the security of your Account Information.

Where you are an Premier Medical Limited/(TA) Premier Wellbeing Account holder and you proceed through the checkout without logging into your Premier Wellbeing Account upon inputting of the email address (that you use to login to your Premier Wellbeing Account) you will be prompted to login to your Premier Medical Limited/(TA) Premier Wellbeing Account by being asked to input your password. If you input your password, you will be logged in and the relevant fields in the checkout process will be populated with your Personal Details. If you do not input your password, you will be treated as a Guest and will need to complete your information in the relevant fields of the checkout process.

Where you proceed as a Guest we will store your Order details against your email address. We will repeat this process each time you use the Sites and place and Order using that email address.

The Company makes no representation and gives no warranty in respect of the information provided on this Website and we will not accept any loss or damage arising from reliance on information provided nor in respect or any error or omission.

The information regarding our products is subject to change.

We reserve the right to amend any error appearing on this website and remove from sale any product without incurring any liability.

Ordering Products

We have taken reasonable steps to ensure the accuracy of the price applicable to the products shown on this Website.

You may order product from this website by completing the appropriate order form or by contacting us by the Freephone number supplied.

When ordering product you are confirming that the information provided by you is accurate and complete and that you are using your own credit or debit card.

When ordering product you are confirming that you have read all applicable warnings and advice regarding the consumption of Our products and you confirm that you are at least 18 years of age and that you are not purchasing product  or or on behalf of a person under that age.

Payment for products must be made in full at the time of order.

Payment

You can pay for Items on the Sites using the following payment options: Mastercard and Visa credit cards, Maestro, Delta, Solo or Electron debit cards, American Express charge cards and PayPal.

We offer the “Verified by Visa” and “MasterCard SecureCode” service which provides you with a safer shopping experience when using your credit card online. You can register for the service when you reach the checkout process or by contacting your card issuer directly. This is a one off-registration process and you will be able to use the same password when making future purchases with us. Please note, dependent on your card issuer we may not be able to process your order if you do not register and a different method of payment may be required to complete your purchase.

All credit/debit cardholders are subject to validation checks and authorisation by the card issuer. If the issuer of your payment card refuses to, or does not for any reason, authorise payment then you will be notified as soon as possible.

We may undertake searches with credit reference agencies for the purposes of verifying your identity and the personal information you submit as part of an order. To do so the agencies may check your personal information against any particular information on any database (public or otherwise) to which they have access. They may also use your details in the future to assist other companies for verification purposes. We may also use your personal information for the purposes of prevention or detection of fraud. By submitting your order you agree to this.

All Items ordered remain our property until we receive full payment from you.

Please note that in addition to the Items and (if any) delivery charges we apply to your order, you may also be required by your country of residence to pay import duties and taxes. Please contact your local customs office for further information so that you are sure about the applicable duties and taxes before you place your order. We are not responsible for payment of such duties and taxes and in the event that you refuse to pay such duties and taxes and the order is returned to us, we will require you to pay any costs that we have incurred as a consequence.

You must provide us with complete and accurate delivery address information. For the avoidance of doubt, this includes not only the address that your order is going to but also the name of the recipient. We cannot be liable for delivery of your order to the wrong address or the wrong person as a result of you supplying us with incomplete or inaccurate information.

We will make every effort to deliver your order within estimated timescales. However, delays are occasionally inevitable due to unforeseen factors or events outside our control for example, material shortages, travel or transportation disruption, import delays, software or technical failures or higher than anticipated demand. Please note delivery of your order may take longer during sale or other busy periods.

We are unable to deliver on public and bank holidays, Christmas Day, Boxing Day or New Year’s Day. On these dates, delivery will take longer than usual. Please allow an extra working day (i.e. Monday-Friday, excluding Saturdays, Sundays and public holidays) for each of these days when calculating the estimated delivery date and when choosing your delivery option.

Delivery of Products

Please note that due to restrictions put in place for Covid-19 we are unable to ship to the following locations: Spain, Italy, Australia, New Zealand, Canada and the United States.

We will arrange for the delivery of products to the person and to the address specified by you at the time your order is placed. Should you wish to make changes to the place or other matters relating to delivery we will endeavour to comply with your request but this may result in additional delivery charge and/or a delay in product being delivered.

We will try to deliver products within a reasonable time from receipt of your order. Time is not of the essence in the contract for the purchase of Our products.

If you do not take delivery of the products or if you fail to provide proper delivery information we may cancel your order in which case we will refund the price but you will remain liable for all delivery charges (If Any).

At the time of delivery you are responsible for checking that your order is correct. If there are any errors you must notify us in writing as soon as possible and in any event within 14 days after the delivery date. We will not be liable for any loss or damage arising out of your failure to do so.

Please be aware that some countries charge import duties. Premier Wellbeing is not responsible for any charges or import duties to ANY country.

Please be aware that delivery to the US can take between 7-10 working days.

We will refund the price that you paid for the Items taking into account any discounts or promotions applied when you purchased the items. The refund will not include any delivery charges (If any) you have paid. All refunds will be made using the same method of payment you used to purchase the Items.

Premier Wellbeing do not condone third party selling,e.g. Ebay, of our products as these are not authorized vendors. We only offer refunds and returns when bought from our own website pw2.local. We do not recommend buying from unauthorized third party sites and our products should only be bought from our website or pharmacies and health food stores who are official partners of Premier Wellbeing.

The above does not affect your statutory rights.

Please note that this policy only applies to items you have purchased on the Sites. For Items purchased from other sources, you will need to check the returns policies of the applicable source.

Cancelling Your Order and Returns

Please note that due to restrictions put in place for Covid-19 we are unable to accept returns.

You may not cancel your order once the product container has been opened and/or the product has been used. This does not affect your statutory rights.

If you choose to cancel your order once the product has been dispatched you will be responsible for returning the product to Us at the above address. You will be liable for the cost of returning the product and will be responsible for ensuring that the product is returned in a reasonable condition.

The above does not affect your statutory rights. Please note that this policy only applies to items you have purchased on the Sites. For Items purchased from other sources, you will need to check the returns policies of the applicable source.

General

Products shown on this Website are intended for sale only to persons dealing as consumers.

These Terms and Conditions shall not exclude or limit Our liability for death or personal injury caused by Our negligence or in any other ways in which Our liability may not be excluded or limited.

These Terms and Conditions and any contract entered into are subject to the laws of the Republic of Ireland.

Prohibitions

By interacting with us on the Social Media (including without limitation joining our official Premier Wellbeing group/page or following us on the Social Media, “liking”, “retweeting”, “reposting”, writing a comment in relation to a page on the Social Media) (“Interacting” or “Interaction” (as applicable)) you are consenting to our interaction with you on the Social Media and the processing of your information accessed on the Social Media.

The information about you that may be collected when you Interact with us on the Social Media may include without limitation your name, your user profile, your age, your preferences, choices and viewpoints with regards to the topic or subject matter of the relevant Social Media page, your photos and other images and your videos.

Your Interaction with us on the Social Media may also involve you submitting a photo or video of you (“Your Image”).

Please let us know if at any time you wish us to stop interacting with you on the Social Media or using any of your information on the Social Media by contacting us at the details set out below.

By Interacting with us (whether on the Sites, Social Media or otherwise) you consent and grant to Premier Wellbeing a perpetual, worldwide, royalty-free license to use Your Image and Contributions for the purposes of promoting, advertising and endorsing Premier Wellbeing and Premier Wellbeing’s goods and services, including without limitation for the purposes of your participation in any promotional activity for the same, and in any media including without limitation television, Social Media, on our Sites, in print and outdoor advertising materials. We may want to use Your Image and Contributions for additional purposes which will be detailed when we collect Your Image and/or in any promotional terms and conditions which will be featured on our Promotions Terms page

You may be able to log into the Social Media via the Sites through “share” or other buttons. By logging into the Social Media through this service we can make your experience on the Site richer and more personalised. As part of such service the Social Media Services will provide us with access to certain information that you have provided to such Social Media and we will use, store and disclose such information in accordance with our Privacy Policy. We enable these features merely as a convenience and integration and inclusion of such features does not imply and endorsement or recommendation.

Reviews

When you purchase from our site, you will receive an email requesting to review our product and service. This review service will be done through TrustPilot. You will receive this email within 3 months of purchasing from our website.

If you submit a review, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

You grant Premier Wellbeing and its sub-licensees the right to use the name that you submit in connection with such content, if they choose.

You agree to waive your right to be identified as the author of such content and your right to object to derogatory treatment of such content.

You agree to perform all further acts necessary to perfect any of the above rights granted by you to Premier Wellbeing, including the execution of deeds and documents, at the request of Premier Wellbeing.

You represent and warrant that you own or otherwise control all of the rights to the content that you post; that, as at the date that the content or material is submitted to Premier Wellbeing:

Use of the content and material you supply does not breach any applicable Premier Wellbeing guidelines and will not cause injury to any person or entity (including that the content or material is not defamatory). You agree to indemnify Premier Wellbeing for all claims brought by a third party against Premier Wellbeing arising out of or in connection with a breach of any of these warranties.

REFERRAL SCHEME

Subject to the terms set out below, you may earn ‘credit’ for use on this Website by referring a new customer(s) to us through our referral scheme by sharing the referral link and/or referral code we provide to you (the “Referral Scheme”). You are only eligible to participate as a ‘referrer’ in this Referral Scheme if you have previously placed an order on the Website.

A new customer is a natural person who has not previously placed an order with us (a “Referee”). If the Referee has an account on the Website but has not previously placed an order on the Website then they are entitled to participate in the Referral Scheme through the ‘referral link’ only. If the Referee already has an account on the Website then they will be unable to participate in the Referral Scheme using a ‘referral code’ (regardless of whether they have previously placed an order).

If the Referee has clicked through your referral link the discount code will automatically be applied at checkout. If the Referee is using a referral code, the Referee must enter this code at checkout.

For the avoidance of doubt, any credit generated from the Referral Scheme may only be spent on the Website and neither you nor the Referee is entitled to receive any payment of any kind in respect of the credit. The credit is not redeemable for cash. The credit that stands to your Referral Scheme account is not transferable in any way.

You will receive the applicable credit on your account 24 hours after despatch of the Referee’s order. If the Referee cancels their order for any reason within 3 days of it being despatched, you will not qualify for any credit. You will receive your credit in the default currency of the Website.

Any credit accrued through the Referral Scheme that has not been used within 12 months from the date of accrual will expire.

The Referee must place an order with a value of at least the minimum value as stated on the Website from time to time.

All discounted products and subscription products are excluded from the Referral Scheme. If you are participating in the Referral Scheme, you will be unable to participate in any affiliate schemes, cash-back offers and/or any other promotions of this nature.

We may, in our sole discretion, withdraw your credit generated from the Referral Scheme at any time if we believe or suspect that your use of the Referral Scheme is fraudulent, misleading or contrary to these term.

If you are a consumer, you may only purchase Items from the Sites if you are at least 16 years old. Otherwise you a parent or guardian must purchase Items from the Sites for you.

You agree not to use any Items purchased for any commercial, business or resale purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity. We only supply the Items for domestic and private use. If you are not a consumer you must obtain our prior written consent to purchase Items from the Sites. Nothing in these Terms excludes our liability for death or personal injury caused by negligence, for fraud or any other liability that cannot excluded or limited by law.

These Terms and any document expressly referred to in them, our Privacy Policy, Cookies Policy and Terms of Use constitute the entire agreement between you and us and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to their subject matter.

You acknowledge that in placing an order and entering into a contract with us you do not rely on any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms or any document expressly referred to in them including without limitation our Privacy Policy, Cookies Policy or Terms of Use. You and we agree that neither of us shall have any claim for innocent or negligent misrepresentation or negligent misstatement based on these terms.

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is caused by any act or event beyond our reasonable control.

We may transfer our rights and obligations under our contract with you to another organisation, but this will not affect your rights or our obligations under these Terms. You may only transfer your rights or your obligations under these Terms to another person if we agree in writing.

When you purchase Items from us, the contract formed is between you and us. No other person shall have any rights to enforce any of its terms, whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

Each of the clauses of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining clauses will remain in full force and effect.

If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.

These Terms are governed by Irish law. This means your use of the Sites and any contract for the purchase of Items through the Sites; and any dispute or claim arising out of or in connection with the same will be governed by English law. You and we both agree to that the courts of Ireland and will have non-exclusive jurisdiction to settle any disputes arising out if these Terms or your use of the Sites.
